STUDENT AGREEMENT

This Student Agreement ("Agreement") is entered into between I.O. Holistic Wellness and Coaching Training Ltd, a private company registered in the Republic of Cyprus under registration number HE463051, trading as the Mediterranean Academy of Wellness Sciences (MAWS), with its registered office at 7 Etnas Street, Sphera Block B, Office 203, Limassol 3118, Agia Fyla, Cyprus, phone +357 99 719224 (hereinafter "the Academy"), and the undersigned student (hereinafter "the Student"). |
1. COURSE PARTICIPATION AND OBLIGATIONS |
1.1. The Academy agrees to provide the Student with theoretical and practical instruction, materials, and support in accordance with the chosen course curriculum. |
1.2. The Student agrees to: |
• Attend and participate actively in all sessions • Complete required coursework and assessments • Conduct themselves in a professional and respectful manner • Comply with the Academy's policies, including the IICT Code of Ethics and Conduct for Complementary Therapists • Follow all health and safety procedures during practical sessions • Arrive on time and prepared for each session |
1.3. The Academy reserves the right to terminate this Agreement and dismiss the Student in the following circumstances: (a) serious or repeated breach of the Code of Conduct (Section 6), including but not limited to harassment, violence, discrimination, or attending sessions under the influence of alcohol or drugs; (b) academic dishonesty as defined in Section 7; (c) failure to meet payment obligations under Section 2 after written notice; (d) unauthorised sharing of LMS credentials or course materials (Section 10.4); (e) any other material breach of this Agreement. Except in cases of gross misconduct warranting immediate dismissal (sub-clauses (a) and (b) above), the Academy will follow the disciplinary process set out in clause 6.2 before termination. The Student may challenge any termination decision through the complaints procedure in Section 8 and the Academy’s Complaints Policy. |
1.4. The Academy will provide the Student with a course syllabus, schedule, and list of required materials prior to the course start date. |
2. FEES AND PAYMENT TERMS |
2.1. All course fees must be paid prior to the course start unless otherwise agreed in writing. Payment options include: (a) full payment before course start; (b) installment plan as specified in the Course Enrollment Annex (deposit + settlement). 2.2. Fees are non-transferable and are subject to the Academy's current pricing schedule. 2.3. Late payments: If a payment plan is agreed and the Student fails to make a scheduled payment, the Academy reserves the right to: (a) suspend the Student's participation until payment is received; (b) charge a late payment fee of 2% per month on overdue amounts; (c) terminate the agreement if payment is more than 30 days overdue. 2.4. Refunds, cancellations, or transfers are handled in accordance with Section 3 of this Agreement. 2.5. The Academy reserves the right to adjust course fees for future courses. Any fee changes will not affect courses for which a Course Enrollment Annex has already been signed. |
3. REFUND AND CANCELLATION POLICY |
3.1. Cancellation by the Student: (a) More than 30 days before course start: full refund minus a €50 administrative fee; (b) 14–30 days before course start: 50% refund; (c) Less than 14 days before course start: no refund; (d) After the course has started: no refund. In cases of documented medical emergency supported by an official medical certificate, the Student may submit a written request within 14 days of the event. The Academy shall review such request within 10 business days and may, at its discretion, offer a course credit (valid for 12 months) for the undelivered portion of the course in lieu of a monetary refund. 3.2. Cancellation by the Academy: If the Academy cancels a course for any reason other than force majeure, the Student is entitled to a full refund of all fees paid for that course. The Academy will provide at least 7 days' notice of cancellation where possible. 3.3. Course transfer: (a) The Student may request to transfer to a different course date (subject to availability) instead of cancellation, provided the request is made in writing. (b) Transfer fees depend on the notice period: (i) More than 14 days before course start: first transfer free of charge; subsequent transfers €50 each; (ii) 7–14 days before course start: €50 administrative fee; (iii) Less than 7 days before course start: €100 administrative fee, subject to Academy’s approval. The Academy reserves the right to treat such late transfer request as a cancellation under clause 3.1. (c) A maximum of two (2) transfers are permitted per enrollment. A third transfer request shall be treated as a cancellation under clause 3.1. (d) The Student must commence the transferred course within six (6) months of the original course start date, failing which the enrollment shall be deemed cancelled without refund. 3.4. For distance/online enrollments, the Student has a 14-day cooling-off period from the date of enrollment in accordance with Cyprus Consumer Protection Law 112(I)/2021, unless the course has already commenced with the Student's explicit consent. |
4. ATTENDANCE POLICY |
4.1. Full attendance is required for course completion and certification. A minimum attendance of 90% is mandatory unless otherwise specified in the Course Enrollment Annex. 4.2. Absences due to illness or emergency must be communicated in writing, with supporting documentation when appropriate. 4.3. The Academy may offer catch-up sessions subject to availability. Excessive absenteeism may result in disqualification without refund. 4.4. Persistent lateness (arriving more than 15 minutes after session start) may be treated as an absence. 4.5. Practical assignments must be submitted by the deadlines communicated to the Student in the course schedule provided at enrollment. The Student is expected to plan their workload accordingly. (a) If a practical assignment is not submitted by the published deadline without a valid reason approved by the Academy in writing, a late submission fee of €120 shall apply per assignment to cover the additional instructor time and administrative costs of out-of-schedule review. The fee becomes due immediately upon the deadline passing. (b) If a practical assignment is not submitted within 14 days after the published deadline, the assignment shall be recorded as incomplete, which may affect the Student’s eligibility for certification under clause 5.1. (c) The Academy may, at its discretion, waive or reduce the late submission fee in cases of documented medical or personal emergency. |
5. CERTIFICATION |
5.1. Certificates are issued only upon successful completion of all course requirements. Successful completion requires: (a) meeting the minimum attendance threshold specified in the Course Enrollment Annex (default: 90%); (b) passing all required assessments (practical and/or theoretical) at or above the minimum standard set by the Academy; (c) completion of all mandatory coursework, practice hours, and assignments. The specific assessment criteria and passing standards for each course are set out in the Course Enrollment Annex and/or the course syllabus provided at enrollment. The Academy’s decision on whether the Student has met the completion requirements is final, subject to the complaints procedure in Section 8. 5.2. The Academy reserves the right to withhold certification if a Student does not meet the required standards of knowledge, skill, attendance, or conduct. 5.3. Certificates are issued in the Student's legal name as provided at enrollment. Requests for re-issuance due to name errors caused by the Student may incur a fee. 5.4. For international recognition of qualifications through the International Institute for Complementary Therapists (IICT), the Student is responsible for independently registering as a Student Member of IICT and maintaining their membership. The Academy will assist in preparing the necessary documentation, including the official enrollment letter required for IICT registration. |
6. CODE OF CONDUCT AND PROFESSIONAL ETHICS |
6.1. The Student agrees to adhere to professional behaviour at all times, including: |
• Maintaining personal hygiene and suitable attire • Respecting the boundaries and confidentiality of others • Refraining from harassment, discrimination, or disruptive behaviour • Following the IICT Code of Ethics and Conduct for all complementary therapists • Treating fellow students, instructors, and practice subjects with respect and dignity • Not attending sessions under the influence of alcohol or drugs |
6.2. Breach of conduct may lead to disciplinary action, including: (a) verbal warning; (b) written warning; (c) temporary suspension; (d) dismissal from the course without refund. 6.3. The Academy operates a zero-tolerance policy for sexual harassment, physical violence, and discrimination of any kind. |
7. ACADEMIC INTEGRITY |
7.1. The Student must submit original work and uphold honesty in all assessments. 7.2. Plagiarism, cheating, or falsification of attendance or assignments will result in disciplinary action, up to and including expulsion without refund. |
8. COMPLAINTS AND DISPUTE RESOLUTION |
8.1. The Student may submit a formal complaint in writing to the Academy Director. 8.2. The Academy will acknowledge the complaint within 5 business days and provide a substantive response within 15 business days. 8.3. If the complaint is not resolved to the Student's satisfaction, the parties agree to attempt mediation before resorting to legal proceedings. 8.4. Mediation shall be conducted in Limassol, Cyprus, in the English language (with Russian interpretation available if needed). 8.5. If mediation fails, disputes shall be resolved in the courts of Limassol, Cyprus, in accordance with Section 17 (Governing Law). |
9. FORCE MAJEURE |
9.1. The Academy shall not be liable for any delay or failure to perform due to events beyond its reasonable control, including but not limited to: natural disasters, pandemics, epidemics, government orders or restrictions, strikes, civil unrest, power failures, internet outages, or other extraordinary circumstances. 9.2. In such events, the Academy may modify the course format (e.g., switch to online delivery), postpone the course, or offer alternative arrangements. The Academy will notify Students as soon as reasonably practicable. 9.3. Staged response to prolonged force majeure: (a) Up to 90 days: The Academy shall use reasonable efforts to adapt the course format (e.g., online delivery, rescheduling). No refund shall be due provided an alternative is offered. (b) 90 days to 12 months: Either party may suspend the agreement. The Student shall receive a course credit equal to the pro-rata value of the undelivered portion of the course, valid for 18 months from the date of issue. No monetary refund shall be due during this period. (c) More than 12 months: Either party may terminate the agreement by written notice. In such case, the Student shall receive a pro-rata monetary refund for the undelivered portion of the course, less a 20% administrative fee to cover the Academy’s incurred costs (materials preparation, facility costs, instructor engagement, and administrative expenses). (d) If the Student utilises the course credit issued under sub-clause (b) before the expiry of the 18-month validity period, no monetary refund shall be due. |
10. HYBRID AND ONLINE PARTICIPATION |
10.1. The Academy delivers course content through a combination of live sessions (in-person and/or via Zoom) and pre-recorded lessons available through the Academy’s Learning Management System (LMS). The Student must ensure access to the necessary technology, including a stable internet connection, for participation in both formats. 10.2. Online and hybrid participation shall be treated with the same seriousness as in-person classes, including attendance at live sessions, dress code, and deadlines. 10.3. The Student is responsible for ensuring a quiet, private environment suitable for practical demonstrations during online sessions. 10.4. LMS access and pre-recorded content: (a) Upon enrollment, the Student receives personal login credentials to the Academy’s LMS. These credentials are strictly personal, non-transferable, and must not be shared with, disclosed to, or used by any third party. (b) The Student’s LMS access shall remain active for twelve (12) months following the completion (or termination) of the course. After this period, access may be extended upon the Student’s request for an additional fee as determined by the Academy’s current pricing schedule. (c) The Academy reserves the right to immediately suspend or revoke LMS access without notice if it detects unauthorised sharing of credentials, simultaneous access from multiple devices or locations suggesting shared use, or any attempt to download, copy, or redistribute LMS content. (d) Breach of this clause constitutes a material breach of this Agreement and may result in termination under clause 1.3, without refund and without prejudice to the Academy’s right to claim damages. 10.5. Recording of live online sessions by the Student is strictly prohibited unless explicitly authorised in writing by the Academy. Pre-recorded content available through the LMS may only be viewed within the LMS platform and must not be downloaded, screen-recorded, or reproduced by any means. |
11. HEALTH AND LIABILITY |
11.1. The Student confirms they are physically and mentally able to participate in the course activities, including hands-on massage practice. 11.2. The Student must disclose any medical conditions, injuries, allergies, or physical limitations that may affect their participation or the safety of others. This information will be treated as confidential medical data under GDPR. 11.3. The Student acknowledges that reasonable physical contact is an inherent and necessary part of practical massage and complementary therapy training. The Student agrees to follow all safety instructions given by the Academy’s instructors at all times. The Student may withdraw consent to physical contact at any point during a session by informing the instructor. The Academy and its instructors shall not be liable for minor discomfort or soreness arising from the normal practice of massage techniques performed in accordance with proper instruction, but this exclusion does not apply to injury caused by the Academy’s negligence or wilful misconduct. 11.4. The Student understands that massage training involves physical exertion and practice on other students. The Student participates at their own risk and agrees not to hold the Academy liable for minor discomfort, muscle soreness, or similar effects of normal training. 11.5. The Student is advised to obtain their own personal health and accident insurance for the duration of the course. The Academy does not provide personal insurance coverage for Students. Student-to-student practice outside supervised sessions is conducted entirely at the Students’ own risk. 11.6. If the Student experiences any pain, discomfort, or injury during a session, they must inform the instructor immediately. 11.7. To the maximum extent permitted by law, the Academy’s total aggregate liability to the Student arising out of or in connection with this Agreement, whether in contract, tort (including negligence), or otherwise, shall not exceed the total course fees actually paid by the Student under the relevant Course Enrollment Annex. This limitation shall not apply to liability for death or personal injury caused by the Academy’s proven negligence, or to any liability that cannot be excluded or limited under the laws of the Republic of Cyprus. 11.8. The Academy shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of income, loss of business opportunity, loss of anticipated savings, or any other economic loss arising from or in connection with this Agreement, even if the Academy has been advised of the possibility of such damages. |
12. INTELLECTUAL PROPERTY |
12.1. All course content, materials, curricula, teaching methodologies, presentations, handouts, videos, and proprietary techniques are the intellectual property of the Academy and/or its licensors. 12.2. The Student agrees not to reproduce, distribute, sell, resell, or use materials for any commercial or teaching purpose without prior written permission from the Academy. 12.3. This restriction applies indefinitely to the use of MAWS-branded course structures, manuals, or methods for commercial or teaching purposes unless otherwise permitted in writing. 12.4. The Student may use the knowledge and skills acquired during the course for their own professional practice (e.g., providing massage services to clients). This clause restricts only the reproduction of the Academy's specific materials and methodologies for teaching or commercial distribution. 12.5. Any materials created by the Student during the course (e.g., case studies, practice logs) remain the Student's property, but may be used by the Academy for quality assurance purposes in anonymised form. |
13. MEDIA CONSENT |
13.1. The Student may be photographed or recorded during sessions for educational and/or promotional purposes, including use on the Academy’s website, social media, and marketing materials. By signing this Agreement, the Student confirms their media consent preference as indicated below (please tick one box):

Media consent is entirely voluntary and is not a condition of enrollment. Refusal to consent will not affect the Student’s participation in the course in any way. 13.2. The Student may withdraw media consent at any time by written notice to the Academy. Withdrawal does not affect the lawfulness of use based on consent given before withdrawal. 13.3. The Academy will not use identifiable images of the Student in marketing materials unless consent has been given under clause 13.1 above. |
14. DATA PROTECTION |
14.1. The Student's personal data will be handled in accordance with the EU General Data Protection Regulation (GDPR) and the applicable data protection laws of Cyprus (Law 125(I)/2018). |
14.2. The Academy collects and processes personal data for the following purposes: |
• Course administration and delivery • Certification and accreditation (including IICT reporting) • Communication about courses and academy activities • Legal and regulatory compliance • Marketing (only with separate explicit consent) • Storage and processing through third-party platforms (LMS, CRM) as described in clause 14.5 |
14.3. The Student has the right to access, correct, restrict processing of, and request deletion of their personal data, subject to legal retention requirements. 14.4. The Academy will retain Student records for a minimum of 7 years after the last course completion for accreditation and legal purposes. 14.5. The Academy uses third-party service providers (data processors) to deliver its educational services. These processors are bound by Data Processing Agreements (DPAs) that require them to protect personal data in accordance with GDPR. Where a processor stores or processes data outside the European Economic Area (EEA), the Academy ensures that appropriate safeguards are in place, including EU Standard Contractual Clauses (SCCs) or other mechanisms approved under applicable data protection law. The Student consents to the transfer of their personal data to such processors as necessary for the purposes described in clause 14.2. 14.6. Health-related information provided by the Student is classified as special category data under GDPR and will be processed only with the Student’s explicit consent and stored with additional security measures. 14.7. The Academy currently uses the following categories of third-party data processors: (a) online learning management system (LMS) for course content delivery and student progress tracking; (b) customer relationship management system (CRM) for communication and enrollment management; (c) payment service providers for processing course fee payments; (d) certification and accreditation bodies (including IICT) for professional qualification registration. The Academy maintains an up-to-date register of processors, which is available to Students upon written request. |
15. NON-COMPETE AND CONFIDENTIALITY |
15.1. The Student agrees not to replicate, resell, or teach the Academy's proprietary course content or methodologies at any time without written permission. 15.2. This restriction applies indefinitely to the use of MAWS-branded course structures, manuals, or methods for commercial or teaching purposes unless otherwise permitted in writing. 15.3. The Student agrees to keep confidential any internal methodologies, business operations, pricing, client information, or other non-public information shared during the course. 15.4. For clarity: this clause does not prevent the Student from practising massage or related therapies professionally. It specifically prevents the Student from using MAWS materials, curriculum, and branding to teach or train others commercially. |
16. COURSE ANNEXES FOR MULTIPLE ENROLLMENTS |
16.1. This Agreement shall remain in effect for the duration of the Student's studies with the Academy. 16.2. For each new course the Student enrolls in, a Course Enrollment Annex shall be signed, detailing course-specific terms (e.g., name, schedule, fees). The terms of this Agreement shall apply to all such courses unless explicitly modified in writing. |
17. GOVERNING LAW |
17.1. This Agreement shall be governed by and construed in accordance with the laws of the Republic of Cyprus. 17.2. Any disputes arising from or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Limassol, Cyprus. |
18. ENTIRE AGREEMENT |
18.1. This document, together with any signed Course Enrollment Annexes, constitutes the entire agreement between the parties and supersedes all previous verbal or written discussions, agreements, and understandings on the subject matter. 18.2. Modifications must be made in writing and signed by both parties. 18.3. If any provision of this Agreement is found to be unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. 18.4. The Academy may assign or transfer this Agreement, in whole or in part, to any successor entity, affiliate, or third party acquiring all or substantially all of the Academy’s business or assets, without the Student’s prior consent. The Student may not assign or transfer any rights or obligations under this Agreement without the prior written consent of the Academy. 18.5. All notices, requests, and communications under this Agreement shall be made in writing and delivered by email to the following addresses: to the Academy — info@maws-academy.com; to the Student — the email address provided at enrollment. Notices sent by email shall be deemed received on the next business day following transmission. Either party may change their notice address by written notification to the other party. 18.6. No failure or delay by the Academy in exercising any right, power, or remedy under this Agreement shall operate as a waiver thereof, nor shall any single or partial exercise of any right preclude any further exercise of that or any other right. |
19. LANGUAGE AND PREVAILING VERSION |
19.1. This Agreement is executed in the English language. A Russian translation is provided solely for the convenience of the Student. 19.2. In the event of any discrepancy, inconsistency, or conflict between the English and Russian versions of this Agreement, the English version shall prevail and have full legal force. |

However, if your course starts before those 14 days are up, you need to agree to that in advance.
